Job Details

We are seeking a mid-level corporate associate to join our M&A and private equity practice. In this role, we work on a broad range of sophisticated transactions, from strategic acquisitions to complex sponsor-driven deals across multiple industries. We collaborate across practice groups to support clients through the full lifecycle of a transaction, including structuring, negotiation, and execution. Our teams are lean and highly integrated, providing early responsibility, direct client exposure, and the opportunity to develop into a well-rounded deal lawyer. Responsibilities

We advise clients on mergers, acquisitions, divestitures, and private equity investments
We draft, review, and negotiate transaction documents, including purchase agreements and ancillary agreements
We support deal execution from initial structuring through closing
We conduct and manage due diligence processes and coordinate with specialists across tax, finance, and regulatory areas
We interact directly with clients, opposing counsel, and internal stakeholders throughout transactions
We assist with general corporate matters, including governance and strategic advisory work

Qualifications

We have at least 2 years of experience in M&A, private equity, or similar transactional work at a law firm
We demonstrate strong drafting and negotiation skills across complex transaction documents
We have experience managing multiple workstreams in fast-paced deal environments
We are comfortable working collaboratively across teams and practice areas
We possess strong analytical, organizational, and communication skills

Requirements

We hold a J.D. from an accredited law school and maintain strong academic credentials
We are admitted to practice in at least one U.S. jurisdiction (or eligible for admission)
We are able to manage competing priorities and meet deadlines in a high-demand environment
We are motivated, detail-oriented, and committed to delivering high-quality work
