Attorney - Transactional Finance - Commercial & Industrial Requirements & Qualifications


  • Juris Doctor (J.D.) degree with strong academic credentials
  • Admission to the New York and/or New Jersey Bar (Florida Bar admission is a plus)
  • 4+ years of transactional or commercial finance experience, with a focus on C&I lending
  • Strong drafting, negotiation, and organizational skills
  • Excellent written and verbal communication abilities
  • Ability to work independently and collaboratively within a team
  • Familiarity with UCC Article 9 secured transactions strongly preferred


Attorney - Transactional Finance - Commercial & Industrial Preferred Background & Skills


  • Experience with Florida-specific lending statutes
  • Practice background including commercial real estate or other lending
  • Experience handling asset-based and cash-flow-based credit facilities


Attorney - Transactional Finance - Commercial & Industrial Day-to-Day Responsibilities


  • Prepare, review, and negotiate a range of commercial agreements, including purchase and sale agreements, leases, easements, and related documents
  • Draft and negotiate financing documents, such as term loans, revolving credit facilities, security agreements, guarantees, and intercreditor agreements
  • Manage due diligence efforts, including title, survey, lease review, and collateral verification for C&I loans
  • Advise clients on transaction structuring, collateral packages, and support complex closing processes
  • Serve as a primary contact for institutional lenders, regional banks, and corporate borrowers
  • Support leasing matters and coordinate all aspects of C&I commercial finance closings
